AGREEMENT FOR ASSISTANCE WITH DOCUMENTSFOR WORK IN UKRAINE

hereinafter referred to as the “Client”, have entered into this Agreement as follows.
1. Services Provided by the Service Provider
1.1. The Service Provider organizes and provides the Client with consulting, informational and organizational services related to the preparation of documents required for obtaining the right to work and stay in Ukraine.
The Client provides the necessary documents and pays for the agreed stages of services within the total price of this Agreement.
1.2. The service package includes:
  • initial review of documents and consultations;
  • organization of the necessary translations and notarization;
  • assistance with obtaining a Ukrainian taxpayer registration number;
  • preparation and assistance with documents required to obtain a work permit for the employment of a foreign national in Ukraine;
  • coordination with the employer;
  • preparation of the package of documents for a Type D visa;
  • explanations regarding the application procedure;
  • informational support until all agreed stages are completed.
1.3. The Service Provider has the right to engage legal specialists, translators, notaries and other contractors, including LLC “KEY TO BUSINESS” (EDRPOU Code 44939892).
The Service Provider remains responsible to the Client for organizing the full package of services under this Agreement.
1.4. This Agreement is not an employment contract with a Ukrainian employer.
The terms and conditions of the Client’s future employment shall be agreed separately with the employer in an employment contract.
Payments under this Agreement relate only to the services listed in Clause 1.2 and to the agreed expenses.
2. Documents and Procedure
2.1. The Client shall provide accurate and valid documents and information, promptly inform the Service Provider about any changes, comply with the requirements of the competent authorities and personally participate in the submission of documents where personal presence is required.
2.2. The Service Provider shall inform the Client about:
  • the start and completion of each stage;
  • the documents required;
  • decisions received from the relevant authorities;
  • the reasons for any delays,
as soon as such information becomes known to the Service Provider.
2.3. The Service Provider begins each paid stage after receiving the necessary documents and the corresponding payment in accordance with the schedule approved by both parties.
The time required for decisions by government authorities, the consulate and the visa centre does not depend on the Service Provider.
3. Price and Stage-by-Stage Payments
3.1. The total price of the service package as of the date of signing this Agreement is USD 1,047.00 (one thousand forty-seven US dollars).
By signing this Agreement, the Client undertakes to pay this amount in stages, with each payment being made before the corresponding stage of work begins.
3.2. The payment amounts, stages, payment deadlines, currency of the actual transfer and payment details shall be specified in the invoices issued by the Service Provider to the Client before the beginning of each stage.
3.3. Upon written instruction from the Service Provider, individual payments may be transferred directly to a contractor specified in such instruction, including LLC “KEY TO BUSINESS”.
Once such payment is confirmed, it shall be counted toward the total price under this Agreement and shall not be paid again by the Client.
The Service Provider shall confirm to the Client the receipt of each payment.
3.4. If market conditions change, either party may propose a new price.
The Service Provider shall notify the Client in writing in advance, specifying the reason for the change and the exact amount of the proposed change.
Any new price, revised stages and revised payments shall become effective only after both parties sign an additional agreement and a new payment schedule.
Silence or the mere receipt of a notification shall not be considered acceptance of the proposed changes.
If the parties do not reach an agreement, performance under this Agreement shall be suspended until the price is agreed, or the parties may terminate the Agreement with settlement in accordance with Section 4.
4. Suspension of the Process and Financial Settlement
4.1. If a competent authority refuses an application, suspends the procedure or requests additional documents, the Service Provider shall inform the Client.
Further paid stages and new payments shall be suspended until the parties agree on the next steps.
If resolving the issue or resubmitting the documents requires additional expenses or a change in price, this shall be agreed in writing.
4.2. Either party may terminate this Agreement by providing written notice to the other party.
Within 15 business days after termination, the Service Provider shall provide the Client with a clear financial statement showing:
  • payments received;
  • services actually provided;
  • mandatory fees already paid;
  • confirmed non-refundable expenses.
Any unused balance shall be refunded to the Client within the same period unless the parties agree in writing on another method of refund.
4.3. Payments made directly to a contractor under Clause 3.3 shall be included in the overall financial settlement between the Service Provider and the Client.
Expenses resulting from improper performance by the Service Provider or persons engaged by the Service Provider shall not be charged to the Client.
5. Decisions of Authorities and Liability
5.1. The Service Provider shall properly organize and provide the services specified in this Agreement.
However, decisions regarding a work permit, visa and entry into Ukraine are made by the relevant authorized authorities.
The Service Provider cannot guarantee a positive decision by such authorities.
5.2. Each party shall be responsible for violations of its own obligations under this Agreement in accordance with the applicable legislation of Ukraine and international law.
The Service Provider shall not be responsible for delays caused by incomplete or inaccurate information provided by the Client or by the processing times of competent authorities, provided that the Service Provider has completed all necessary actions required on its part.
6. Personal Data, Term and Copies of the Agreement
6.1. The Client authorizes the Service Provider to process and transfer the Client’s documents and personal data to engaged service providers, the employer, notaries, government authorities and visa organizations to the extent necessary for the performance of this Agreement.
The Service Provider shall maintain the confidentiality of the Client’s personal data and, upon the Client’s request, shall inform the Client to whom such data has been transferred.
6.2. This Agreement shall be valid for one year from the date it is signed by both parties.
The provisions concerning financial settlements and confidentiality shall remain valid until the corresponding obligations have been fully performed.
Any amendments to this Agreement shall be made in writing and signed by both parties.
6.3. The Client may complete and sign this Agreement and send the Service Provider a clear photograph or scanned copy of all pages.
The Service Provider shall send the Client a copy signed by the Service Provider.
The paper original signed by the Client shall be provided to the Service Provider together with the documents.
The Service Provider shall ensure that the Client receives the Client’s copy of the Agreement signed by both parties.
6.4. The parties shall first attempt to resolve any disputes through direct discussion.
If no agreement is reached, disputes shall be resolved in accordance with the applicable legislation of Ukraine.
